Terms of Service

1. BlockStay is in development

BlockStay is an early-stage product under development. Features may be incomplete, may change or may be removed at any time, and there is no guaranteed launch date. Parts of the Service are demonstrations of features we're exploring rather than finished products.

2. The interest list

• Joining the interest list is free and requires no purchase or payment.
• Joining does not create an account, a contract for services, or a hotel reservation.
• Joining does not guarantee admission to any early-access programme or access to the product.
• How we use your information is described in our Privacy Policy.

3. Demonstration content

Unless clearly stated otherwise:

• Hotel listings, room inventory, availability and bookings shown in the marketplace are simulated for demonstration purposes. They are not live hotel inventory, and no room can actually be booked through the Service.
• Hotel names are used only to illustrate the product. Their appearance does not mean that any hotel is affiliated with, has partnered with, or endorses BlockStay.
• Reservations are simulated. No payment is processed and no hotel is notified.
• Prices, “reference” public rates, savings and attrition-exposure figures are estimates or illustrations. They may be inaccurate or out of date and are not offers or quotes.

4. No guarantee about hotel contracts or attrition

BlockStay does not guarantee that it can reduce or eliminate hotel attrition charges or other penalties. Your actual obligations depend on the terms of your hotel agreement and the hotel's policies, which BlockStay does not control. In particular, whether rooms resold or rebooked by others count toward a block's minimum is decided by the hotel and your contract. Calculations in the Service rely on the information you enter and are not legal, financial or contractual advice. Review your contracts with the hotel and, where appropriate, a qualified professional.

5. Eligibility and accounts

You must be at least 18 years old to use the Service. If you use it on behalf of a business, you confirm that you are authorised to do so. You are responsible for keeping your login details secure and for activity under your account.

6. Information you provide

You agree to provide accurate information. If you enter information about clients, guests, events or bookings, you confirm that you have the right and any necessary permission to share it with us for use in the Service.

7. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent or misleading;
• submit someone else's information without permission, or sign other people up for the interest list;
• attempt to access accounts or data that aren't yours, or probe, disrupt or overload the Service;
• scrape, copy or resell the Service or its content using automated means, except as permitted by law; or
• upload malicious code or content that infringes others' rights.

8. Intellectual property

The Service, including its software, design, text and the BlockStay name and logo, belongs to us or our licensors. You may use the Service for its intended purpose, but you may not copy, modify or distribute it without permission. You keep ownership of the information you submit and grant us a limited licence to use it to operate and improve the Service. If you send us feedback or ideas, we may use them without obligation to you. Third-party names, trademarks and images belong to their respective owners.

9. Availability

The Service may be interrupted, unavailable, or contain errors. We may modify, suspend or discontinue any part of it at any time, including the demo app and the interest list.

10. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Some jurisdictions don't allow certain disclaimers, so some of these may not apply to you.

11. Limitation of liability

To the extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. This includes any hotel charges, attrition fees or other costs you incur under agreements with third parties. Because the Service is currently free, to the extent permitted by law our total liability for any claim relating to the Service is limited to US $100. Nothing in these terms limits liability that cannot be limited under applicable law.

12. Termination

You may stop using the Service at any time and may ask us to delete your account or interest-list record. We may suspend or end your access if you breach these terms or if we discontinue the Service. Sections that by their nature should survive termination (including 8, 10, 11 and 14) will survive.

13. Changes to these terms

We may update these terms as BlockStay develops. We'll post the updated version here with a new “Last updated” date. If a change is material, we'll take reasonable steps to let you know. Continuing to use the Service after the change means you accept the updated terms.

14. Governing law

These terms are governed by the laws of Delaware and applicable US federal law, without regard to conflict-of-law rules, except where the law of your place of residence requires otherwise.
